Pennsylvania registered agent rules

Pennsylvania runs its registered agent system on different legal rails than the other 49 states. The statute never actually says "registered agent." It requires a registered office (15 Pa.C.S. § 8825), and it lets businesses satisfy that requirement by naming a Commercial Registered Office Provider, or CROP (15 Pa.C.S. § 109). In practice everyone still says registered agent, the role works the same way, and a CROP is simply Pennsylvania's official name for a commercial registered agent.

What isn't included

• Filing your annual report. That is a separate service with its own fee plus the state's fee.
• State filing fees of any kind.
• Forming the company, or any amendment or reinstatement filing.

Detail

1. Pick your new agent. It needs a physical Pennsylvania street address, or it can be a CROP named in place of an address.
2. Fill out the Statement of Change of Registered Office (DSCB:15-1507/5507/8625/8825) with your entity details and the new office or CROP designation.
3. File it with the $5 fee, online through Business Filing Services or by mail to the Department of State.

Common questions

When is the annual report due?

September 30 each year. The filing fee is $7. Pennsylvania is providing a grace period through 2026 — no business will be dissolved for missing the report during this transition period.

What's your policy on general mail for Pennsylvania clients?

We get this question a lot from Pennsylvania business owners. Here is the straightforward answer: Our registered agent address receives legal and compliance mail — service of process, subpoenas, Secretary of State notices, tax correspondence, and annual report reminders. That is the scope. We allow up to 3 general mail items per year as a courtesy, but this is not a mailbox service. Packages, Google Maps postcards, Amazon verification letters, and third-party verification mail are not accepted. What is a registered agent in Pennsylvania?

Our policies

Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.

You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.

Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
